Welcome to Remedia. These Terms of Use apply to access and use of the Remedia platform by educational institutions, their administrators, teachers, and students. By creating an account or using the platform, you agree to these Terms. If your institution has signed a commercial agreement with Remedia, that agreement prevails for commercial aspects; these Terms govern the daily use of the platform by users.
1. Definitions
- “Institution” means the client educational institution that makes the platform available to its users.
- “User” means any person who accesses the platform, including Administrators, Teachers, and Students.
- “Account” means a User’s individual access to the platform through login credentials or SSO.
- “User Content” means any content uploaded or generated by Users, including assessments, responses, attachments, and educational materials.
- “AI Content” means content generated by Remedia’s artificial intelligence features based on a User’s instructions.
- “Client Data” means data relating to the Institution and the use of the platform by its Users, including assessment results.
- “Analytics Data” means aggregated or pseudonymized data on the use of the platform, not linked to any identified User.
2. Accounts and Eligibility
- 2.1 Each User must have a personal Account. Administrators and Teachers must use their real identity. Student Accounts may be pseudonymized in accordance with the Institution’s policies.
- 2.2 The Institution is responsible for assigning, securing, and managing its Users’ Accounts, as well as for keeping login credentials confidential. It must promptly inform us of any suspected unauthorized access.
- 2.3 The minimum age for use and any required parental consents are determined by applicable laws and the Institution’s policies.
3. Access to the Service and Modifications
- 3.1 Remedia provides access to the platform on a SaaS basis. Certain features may evolve over time to improve the quality or security of the service.
- 3.2 Remedia may add, remove, or modify features without substantially diminishing the primary purpose of the service for the duration of the subscription.
- 3.3 Access may be suspended, in whole or in part, in the event of a risk to the integrity or security of the service, misuse contrary to these Terms, or for scheduled maintenance.
4. Permitted and Prohibited Use
- 4.1 Permitted Use: creating assessments and educational content, distributing activities, grading, and providing support to students, in accordance with the educational objectives of the Institution.
- 4.2 Prohibited Uses (non-exhaustive list):
- a) Attempting to access the source code, decompile, disassemble, reverse engineer, or create derivative works of the platform.
- b) Copying, modifying, or circumventing security or licensing mechanisms.
- c) Using the platform to develop or train competing services.
- d) Unreasonably overloading the infrastructure or interfering with another party’s use of the service.
- e) Renting, selling, transferring access, or allowing use by an unauthorized third party.
- f) Illegally using Remedia’s trademarks, logos, or identifying elements.
5. User Content and AI Content
- 5.1 Responsibility. Users remain responsible for the accuracy, legality, and appropriateness of User Content uploaded or generated through the platform.
- 5.2 AI Content. AI Content is generated automatically to assist teachers. It must always be reviewed, validated, and, if necessary, adapted by a teacher before being shared with students or used for assessment purposes.
- 5.3 No Warranty on AI Content. Remedia does not guarantee the accuracy, completeness, or suitability of AI Content and disclaims any liability for its use without proper pedagogical supervision.
- 5.4 License to Use User Content. The Institution grants Remedia a non-exclusive, royalty-free license to host, process, and reproduce User Content solely to the extent necessary to provide and improve the service.
- 5.5 Rights to AI Content Produced by Users. To the extent permitted by law, Remedia transfers to the Client any rights, if applicable, over AI Content generated by Users through the platform.
- 5.6 Suggestions. Any improvement suggestions may be freely used by Remedia without any obligation of confidentiality or compensation.
6. Intellectual Property
- 6.1 Remedia retains all rights to the platform, its software components, documentation, and trademarks. No transfer of rights is granted to the User, except for a limited right to access and use in accordance with these Terms.
- 6.2 Remedia’s trademarks and logos may not be used without prior written authorization.
7. Data, Confidentiality, and Security
- 7.1 Hosting. The platform and data are hosted by reputable third-party providers. Unless otherwise contractually specified, hosting takes place in Canada.
- 7.2 Backups. Regular backups are performed following industry best practices.
- 7.3 Roles and Responsibilities. The Institution remains responsible for complying with applicable privacy laws. Remedia acts as a technology provider in accordance with its Privacy Policy and security measures.
- 7.4 Privacy. Use of the platform is governed by Remedia’s Privacy Policy, which describes the types of data processed, purposes, recipients, retention periods, and individuals’ rights.
- 7.5 Analytics Data. Remedia may generate aggregated statistics not linked to any identified person to improve the service.
- 7.6 Export and Retention. Upon termination of access, a 30-day export window for Client Data and User Content is provided; beyond this period, Remedia may delete such data, except for legally required retention obligations.
8. Incidents and Support
- 8.1 In the event of an incident affecting the platform, Remedia will use reasonable efforts to respond during business hours and more promptly depending on the severity.
- 8.2 Incidents caused by external factors (User’s network, hardware, prohibited use, force majeure) are excluded from standard support.
9. Subscriptions and Billing
- 9.1 Commercial terms (fees, taxes, deadlines) are defined in the commercial offer accepted between Remedia and the Institution, if applicable.
- 9.2 Unless otherwise agreed, payments are due upon receipt of the invoice and may be required on an annual basis.
10. Warranties, Disclaimers, and Liability
- 10.1 Remedia provides the platform "as is," subject to any express commercial warranties stipulated in the offer or commercial agreement. Any implied warranty of fitness for a particular purpose is excluded to the extent permitted by law.
- 10.2 Limitation. Remedia is not liable for indirect, special, punitive, incidental, or consequential damages. Remedia’s total liability to the Institution for direct damages is limited to the amounts paid in the twelve months preceding the relevant service, except as required by mandatory law.
- 10.3 The Institution remains responsible for educational choices and decisions based on results and content produced via the platform.
11. Suspension and Termination
- 11.1 Remedia may suspend or terminate access in the event of a material breach of these Terms, persistent non-payment, a security or intellectual property violation, or if required by law.
- 11.2 Upon termination of access, the Institution must cease using the platform and documentation. Sections that by their nature survive remain in effect (intellectual property, confidentiality, liability limitations, etc.).
12. Governing Law and Disputes
- 12.1 These Terms are governed by the laws of Quebec and the applicable federal laws of Canada. Any dispute will be submitted to the courts of the judicial district of Montreal, to the exclusion of any other forum.
- 12.2 In the event of a linguistic discrepancy, the French version prevails unless otherwise specified.
13. Modifications and Notices
- 13.1 Remedia may update these Terms for legal, security, or functional reasons. The Institution’s Administrators will be notified in advance when required by law. Continued use after the effective date constitutes acceptance of the updated Terms.

Annex A. Summary of Prohibited Uses
- Reverse engineering, decompilation, or derivation of the platform.
- Circumventing security or licensing mechanisms.
- Use to create a competing service or train a competing model.
- Intentional overloading or disruption of the infrastructure.
- Sharing access with unauthorized third parties; reselling access.
- Use contrary to applicable laws, including privacy laws.
